……………… Capital Markets from reactive detection to preemptive deterrence.

The recent string of high-profile corporate scandals has triggered widespread debate on the resilience of Malaysia's capital markets. Critics and market observers argue that these crises have severely undermined the decades of progress made by Bursa Malaysia and the Securities Commission (SC) to align local corporate governance with strict international benchmarks.

Perhaps, it is time for the government to amend the regulatory ecosystem shifting it from reactive detection to preemptive deterrence.

Make Bursa Malaysia and the Securities Commission truly effective at minimizing corporate failures and ensuring swift accountability by those responsible for it.

Presently, the SC holds investigative and civil enforcement powers but must work through the Attorney General's Chambers (AGC) to prosecute criminal offenses, while Bursa handles front-line market discipline.

To achieve the "lightning-speed" accountability seen in market manipulation cases, systemic and legal reforms are required across four key areas:

1. Short-Circuiting the Legal Delay

The gap between discovering a corporate fraud and sentencing perpetrators often takes years due to backlogged courts and prolonged investigations.

  • Specialized Corporate & Securities Courts: Establishing dedicated high courts solely for capital market crimes would ensure judges are forensic-accounting literate and cases are heard continuously, preventing defense teams from using endless postponement tactics.
  • Expanded Prosecutorial Powers: Give SC direct prosecutorial autonomy for a wider range of capital market offenses (reducing reliance on the AGC's bottlenecked caseload) would dramatically speed up the timeline from investigation to indictment.
  • Preemptive Travel Bans and Asset Freezes: Standardizing immediate, automated international travel restrictions and multi-jurisdictional asset freezes the moment a formal forensic audit is triggered prevents perpetrators from fleeing or siphoning funds overseas.

2. Upgrading Tech Surveillance from "Trading" to "Accounting"

While Bursa effectively uses real-time algorithms to catch market manipulation, accounting fraud remains cloaked in delayed paper trails.

  • Continuous AI-Driven Audit Auditing: Regulators mandate that public listed companies (PLCs) grant read-only, real-time access of their enterprise resource planning (ERP) and banking transaction metadata to a centralized regulatory AI system.
  • Anomaly Detection in Cash Flows: Instead of waiting for annual reports, AI can instantly flag discrepancies between reported revenues and actual bank cash inflows, triggering immediate regulatory inquiries months before an official audit failure.

3. Strengthening the First Line of Defense (Auditors & Directors)

Regulators cannot be inside every boardroom, so they must make the consequences for the gatekeepers catastrophic if they fail in their duties.

  • Strict Auditor Accountability: Enhancing the powers of the Audit Oversight Board (AOB) to strip licenses and impose massive personal financial penalties on individual audit partners who sign off on flawed accounts, rather than just fining and suspending the audit firm and the signing partner.
  • Enforcing Independent Director Liability: Using the precedent of Section 17A of the MACC Act (corporate liability for corruption) to hold independent directors personally and criminally liable if they fail to demonstrate "adequate procedures" in vetting management's financial claims.

4. Overhauling Enforcement Tools: Ending the "Compound Culture"

  • Mandatory Custodial Sentences: Reforming the Capital Markets and Services Act (CMSA) to mandate minimum jail sentences for structural accounting fraud, removing the option for corporate wrongdoers to simply pay a fine using company-derived wealth to avoid prison.
  • Banning Corrupt Executives for Life: Implementing automatic, lifetime global bans preventing compromised executives or directors from serving on the board or management of any PLC or licensed financial institution.

It is a frustrating and deeply concerning reality in corporate governance where minority shareholders often bear the heaviest losses when management and major shareholders collude with a compliant Board of Directors.

When structural checks and balances fail, retail and minority investors are frequently left with diminished asset values and little immediate recourse.
