Digital reference compiles current securities regulations

THE Securities and Exchange Commission (SEC) has launched a consolidated digital reference for securities regulations, combining over two decades of amendments and issuances in a single online resource to improve regulatory access and compliance.

In a statement, the SEC said the Annotated Consolidated Reference of the 2015 Implementing Rules and Regulations (IRR) of Republic Act 8799, or the Securities Regulation Code (SRC), integrated all regulatory updates issued from 2000 to 2026.

The regulator said it wanted to simplify the use of securities rules following years of amendments, clarifications and memorandum circulars issued to address evolving market conditions and align local regulations with international standards.

“The continuing evolution of the capital market requires regulations that are not only responsive and robust but also accessible and easy to navigate,” SEC Chairman Francis Lim said.

“While the 2015 SRC IRR has been progressively enhanced over time, we acknowledge that the current volume of updates necessitates a centralized, digital-ready reference,” he added.

“Through the Annotated 2015 SRC IRR, we seek to provide our stakeholders — especially legal practitioners and the investing public — with a complete and historically accurate resource that promotes regulatory clarity and ease of compliance.”

Amendments have been directly integrated into the relevant provisions of the 2015 SRC IRR, eliminating the need for users to separately review multiple circulars and issuances.

The reference also includes a separate index that categorizes memorandum circulars by subject matter, issuance number and corresponding SRC rule to provide a quicker cross-reference tool.

The SEC digital reference would be treated as a “living document” that will be updated regularly to reflect future amendments and new rules.

The Securities Regulation Code, enacted in 2000, serves as the legal framework governing the Philippine capital market and authorizes the SEC to regulate securities trading, protect investors, and ensure transparency in corporate disclosures.
