
SWISS building materials supplier Holcim Group will sell a nearly 68-percent stake in Holcim Philippines to China’s Huaxin Building Materials Co. Ltd. for $527 million, the company said on Sunday.
Holcim said the transaction was expected to be completed in the first half of 2027, subject to customary closing conditions and regulatory approvals.
The agreement also allows Holcim to sell its remaining stake in the Philippine cement company within three to five years after the initial transaction closes for a minimum consideration of $280 million.
The company said the $807-million deal was structured to allow it to realize “additional cash upside” during that period.
Holcim said the transaction formed part of a strategy to actively manage its portfolio while focusing on markets and business segments with stronger long-term growth prospects.
Holcim Philippines, formerly listed on the Philippine Stock Exchange, was taken private following a tender offer and voluntary delisting after its public float fell below the exchange’s minimum requirement.
The announcement comes weeks after Holcim raised its outlook for 2026 organic sales growth to five percent from its previous guidance of three to five percent, citing a recovery in housing construction.
Neither Holcim nor Huaxin disclosed whether the transaction would affect the Philippine company’s operations, workforce or future investment plans.
