MICRO, small, and medium enterprises (MSMEs) can continue to avail of discounted registration and filing fees, the Securities and Exchange Commission said
Under SEC Memorandum Circular 2, Series of 2026, issued on January 9, a 20-percent discount on corporate registration fees for MSMEs was extended until March 31, 2026 while a 50 percent discount on securities registration fees will remain available until June 30, 2026.
The securities registration discount also applies to filings made through the SEC’s streamlined registration process, including those for power generation and distribution utility companies, real estate developers or managers involved in rental pool deals, agri-business firms, and hospitals.
The SEC said that since the implementation of lower rates under SEC Memorandum Circular 8, Series of 2025 in July, approximately P34.5 million in registration and filing fee discounts were granted to 15,425 MSMEs as of December last year.
“The SEC is entering the new year with a renewed commitment to support the expansion of MSMEs, given their crucial role in driving the country’s economic growth,” SEC Chairperson Francis Lim said.
He added that discounted registration and filing fees were helping ease compliance costs and encouraging entrepreneurs to formalize their businesses and access the capital market for expansion.
The memorandum circular adopts MSME classification under Republic Act 9501, or the Magna Carta for Micro, Small and Medium Enterprises. Under the law, micro enterprises are those with assets of up to P3 million, small enterprises up to P15 million and medium enterprises up to P100 million.
To qualify for the discounted securities registration fees, applicants must submit a Certification of MSME Qualification signed by the company’s president or treasurer and generally maintain a paid-up capital of P25 million, except for agri-businesses applying under the streamlined process.
