For their failure and gross negligence in ensuring that the company performs its legal responsibility and obligation remitting RM314 million in collections to the Road Transport Department (JPJ).

With its failure to remit the said sum, the company’s management and board have breached basic contract terms, resulting in an immediate service suspension and severe destruction of shareholder value.

MSWG's core function is to call out gross negligence and protect minority investors.

Failure to remit sums due to JPJ is a severe legal matter that exposes a company to intense operational, contractual, and criminal liabilities.

When a company collects public or statutory funds i.e vehicle registration fees, road tax, or traffic fines in this particular case and fails to forward them to the regulatory authority, it ceases to be a simple civil payment dispute.

Instead, it enters the realm of corporate fraud and personal criminal accountability for management.

Failing to remit government funds often elevates a corporate failure into individual criminal charges.

Zetrix AI Bhd issued a post-dated cheque for RM231 million to the government in August 2026, only to deliberately instruct its bank to stop payment when presented on September 30.

This reckless maneuver directly triggered the regulatory hammer.

Under Section 405/409 of the Penal Code, if a company or its directors are entrusted with money (e.g., collecting JPJ fees from clients or holding corporate funds designated by law for statutory payments) and dishonestly misappropriate or misuse it, they can face severe imprisonment terms, whipping, and fines.

Under standard Malaysian corporate and statutory laws, directors and senior management cannot hide behind the "limited liability" of the company if they knowingly permitted or failed to prevent criminal negligence or financial fraud.

Does failing to pay JPJ by Zetrix AI Bhd constitutes a immediate material breach of contract?

The company will be liable to indemnify clients for any losses, including impounded commercial fleets, interrupted supply chains, or legal fees incurred due to expired road taxes and registrations.

The operational fallout from a JPJ dispute can freeze a logistics, transport, or corporate entity almost overnight as JPJ has the authority to blacklist entities, meaning the company will be entirely blocked from renewing road taxes, transferring vehicle ownership, or licensing its fleet.

Operating vehicles without valid JPJ documentation leads to immediate seizure by authorities, halting business operations completely.

A company facing criminal investigation or government blacklisting is automatically disqualified from bidding on public sector tenders and loses credibility for private contracts.

MSWG should immediately deploy a sequential escalation framework against the Zetrix AI board.

  1. Issue an Immediate Public Query Letter: MSWG must demand a comprehensive, itemized explanation from the Board regarding the internal controls that allowed RM314 million in state funds to be withheld.
  2. Question the independent directors during the next General Meeting. If a meeting is not imminent, MSWG can rally minority blocks to demand an Extraordinary General Meeting (EGM).
  3. Escalate findings directly to Bursa Malaysia Securities and the Securities Commission (SC) for breaches of Listing Requirements and potential market misinformation.
  4. If the board's gross negligence has permanently disabled the core revenue continuity of the company, MSWG can advise minority shareholders on initiating a derivative lawsuit against individual directors for breach of their fiduciary duty to act in the best interest of the corporation.
