EXECUTIVES of Liberty Flour Mills Inc. and its subsidiary LFM Properties Corp. have been subpoenaed by the Pasig City prosecutor's office in connection with a complaint involving documents related to the sale of the Liberty Building.
The company told the stock exchange that corporate secretary William Ang received a subpoena on June 29 in relation to a complaint filed by Stella Marie Jill Uy against Ang, John Carlos Uy and Jose Jalandoni.
Jalandoni was also said to have received a subpoena on the same date.
The complaint claimed a violation of Article 172(1), in relation to Article 171(4), of the Revised Penal Code, in connection with documents executed for the sale of the Liberty Building.
The companies said Uy was named in the complaint as the signatory to the deed of absolute sale on behalf of Liberty Flour Mills, while Jalandoni was named as the signatory for LFM Properties.
Ang, meanwhile, was included in his capacity as Liberty Flour Mills' corporate secretary in relation to the issuance of a secretary's certificate for the sale.
Both Liberty Flour and LFM Properties maintained that the sale of the property was duly authorized and carried out in accordance with applicable corporate approvals and requirements.
The companies said they respected the legal process and would address the matter in the appropriate forum while also taking the necessary steps to protect their rights and interests.
Further disclosures will be made should there be any material developments, they added.
Liberty Flour Mill’s share price fell by 55 centavos, or 1.91 percent, to P28.20 on Tuesday.
