PNB Holdings makes stock market debut

PNB Holdings Corp. debuted on the Philippine Stock Exchange (PSE) on Friday, bringing a portfolio of prime commercial properties in Makati and Pasay in a listing by way of introduction, a mechanism that allows a company to go public without conducting a share offering.

Trading under the symbol LTL, the stock closed unchanged from its listing price of P1.20 per share after opening at a relatively weak P0.75. Some 952.8 million shares valued at about P1.04 billion changed hands. Trading was volatile, with the stock dipping to a low of P0.70 and rising to a high of P1.24 before closing at P1.20 during its market debut.

The benchmark PSE index, meanwhile, ended the day up 1.67 percent, with holding firms posting a 0.65 percent gain.

The listing comes after PNB Holdings posted a 26-percent increase in first-half revenues to P634.3 million from P502.7 million a year earlier, with net income surging 85.3 percent to P209.9 million. Gross profit rose 58.5 percent to P326.9 million, while earnings before interest, taxes, depreciation and amortization increased 40.3 percent to P336.5 million.

The company said the revenue increase was driven largely by its portfolio of commercial properties, led by PNB Financial Center and PNB Makati Center, which contributed 67 percent and 26 percent, respectively, to total revenues in the first half.

PNB Holdings’ portfolio is anchored by three major properties with a combined estimated value of more than P85 billion: the nearly 10-hectare PNB Financial Center in Pasay City, the PNB Makati Center along Ayala Avenue, and an approximately 8,000-square-meter property along the Buendia-Paseo de Roxas corridor in Makati City.

PSE President and CEO Ramon Monzon described the listing as the latest step in PNB Holdings’ transformation into a real estate company.

“LTL joins our roster of listed property companies with real substance behind it — a prime portfolio of three major properties worth over P85 billion,” he said.

Monzon noted that the portfolio includes office, retail and commercial leasing, coworking spaces, parking concessions and event venues, all of which contributed to the company’s strong first-half results.

The company entered the property business after Philippine National Bank subscribed to about 93.5 percent of PNB Holdings’ increase in authorized capital stock in exchange for real estate properties. PNB subsequently distributed PNB Holdings shares to its shareholders as property dividends.

“This is only day one for LTL as a listed company. But I am hopeful this listing marks the beginning of even greater ambitions — new real estate ventures grounded in the same sustainability and innovation standards the company has worked hard to establish,” Monzon said.

Beyond its existing leasing operations, PNB Holdings has identified redevelopment and asset-enhancement opportunities within its property portfolio.

The company’s financial position also provides room for expansion. As of June 2026, total assets stood at P50.894 billion, while cash and cash equivalents had grown 30 percent to P3.025 billion. The company reported a 0.02 debt-to-equity ratio and said it had no interest-bearing loans.

The listing gives PNB Holdings a publicly traded platform as it seeks to enhance the value of its existing real estate assets and pursue longer-term growth opportunities.

For PNB shareholders who received PNB Holdings shares through the property-dividend distribution, the listing also provides a regulated market where the shares can be traded.
